Koda Studios operates on a global, asynchronous engineering schedule. Our server infrastructure, automated deployment pipelines, and billing systems run 24/7/365.

Automated Communications: The Client acknowledges that system-generated updates, Service Level Agreement (SLA) warnings, invoice reminders, and infrastructure notifications may be dispatched at any time, day or night.

Always Online: Our architecture does not sleep, and neither do our operational systems. Time-sensitive technical directives (such as server suspensions or project terminations) are executed automatically at the exact minute of their deadline, regardless of local time zones.

To maintain absolute architectural focus and operational integrity, Koda Studios strictly enforces standard Business-to-Business (B2B) communication.

All official project management, scope revisions, and financial inquiries must be routed through koda.studioskenya@gmail.com.

The Developer's personal communication channels (e.g., direct WhatsApp, social media) are not monitored for administrative purposes.

Koda Studios does not engage in emotional or informal dispute resolution. All operations are governed by cold, factual project metrics.

Custom cloud compute, edge-network deployments, and database hosting require continuous resource allocation. Koda Studios does not indefinitely subsidize inactive projects.

The 48-Hour Notice: In the event of invoice delinquency or project stagnation, Koda Studios will issue a 48-hour automated infrastructure warning.

Suspension: Failure to remit payment within this exact timeframe will result in the immediate and automated purging of all Vercel deployments, Supabase databases, and server allocations.

Deadlines are mathematically absolute. Extensions are not granted without formalized, written corporate approval.

Until the final invoice is settled in full, Koda Studios legally retains 100% ownership of all written codebases, database schemas, UI/UX designs, and custom domain names registered under the Developer's accounts.

Domain Ownership: If a custom domain is purchased and hosted on Koda Studios infrastructure, the Client possesses zero legal rights to that domain until all overarching balances are cleared.

In the event of contract termination due to non-payment, Koda Studios reserves the right to lock, repurpose, or retain all digital real estate and source code.

Koda Studios operates on strict, high-ticket delivery timelines. Chronic evasion and disrespect for the Developer's time will result in immediate termination.

Phantom Appointments: Failure to attend scheduled technical consultations, or employing stalling tactics (e.g., repeated rescheduling, claiming to be \"arriving shortly\" while entirely absent), constitutes Time Theft.

Ghosting: If a Client fails to respond to official communication for a period exceeding 14 days, the project will be legally classified as \"Abandoned.\" All associated infrastructure will be demolished, and the initial deposit will be forfeited to cover administrative and compute losses.

Any feature requests, design alterations, or technical additions not explicitly defined in the initial Statement of Work (SOW) are classified as Scope Creep.

Koda Studios does not perform unbilled labor. All scope expansions will be quoted, billed, and scheduled entirely independent of the primary project timeline.

We leverage enterprise-grade cloud providers (Vercel, Supabase, AWS). Koda Studios assumes zero liability for downtime, data loss, or service degradation caused by third-party infrastructure failures.

The Client agrees that external platform outages are outside our architectural jurisdiction.

We operate with discretion. Both parties agree to maintain strict confidentiality regarding proprietary business logic, financial models, and unreleased design assets.

Koda Studios reserves the right to aggregate sanitized performance data for internal case studies and analytical reports.

Under no circumstances shall Koda Studios be held liable for indirect, incidental, or consequential damages arising from the deployment or operation of our software.

Our maximum liability in any dispute shall absolutely not exceed the total project capital remitted by the Client to date.
