At Koda Studios, we engineer bespoke digital environments that require dedicated compute allocation, rigorous technical scoping, and high-level architectural focus. To maintain the integrity of our development pipeline, we strictly enforce the following financial protocols.
By engaging Koda Studios for any software design, 3D modeling, or digital infrastructure project, you agree to these absolute terms.

THE INITIATION DEPOSIT
We do not allocate server resources, initiate repository environments, or commence architectural planning without secured funding.
The 50% Baseline: All projects require a strictly non-refundable 50% initiation deposit before development begins.
Queue Placement: This deposit secures your position in our engineering queue and covers the initial phases of technical roadmapping, UI/UX prototyping, and backend structuring. Koda Studios does not engage in speculative work or unpaid trial periods.
FINAL SETTLEMENT & PRODUCTION DEPLOYMENT
Koda Studios operates a strict "Zero-Debt Deployment" policy.
The Staging Environment: Upon completion of the build, the project will be presented on a locked, developer-only staging network for final review.
The Final 50%: The remaining project balance is due immediately upon staging approval.
Release of Assets: Under no circumstances will Koda Studios transfer domain ownership, hand over GitHub repositories, or push the architecture to a live public edge-network until the final invoice is settled and cleared in full.
SCOPE INTEGRITY & MICRO-INVOICING
The quoted project cost is strictly bound to the initial architectural roadmap agreed upon prior to the deposit.
Feature Creep: Any requests for additional features, complex backend logic, extra 3D rendering, or structural changes introduced after development has commenced are considered out-of-scope.
Micro-Invoices: These additions will not be integrated for free. They require a separate, upfront micro-invoice, which must be cleared before the new logic is engineered into the codebase.
INVOICE MATURITY & DEFAULT PROTOCOLS
Koda Studios invoices are strictly Due Upon Receipt. We do not operate on net-30, net-60, or flexible grace periods.
The 48-Hour SLA: If a final deployment invoice remains unpaid 48 hours after the staging environment has been approved, Koda Studios will automatically pause all active development and server maintenance.
Late Penalties: Any invoice remaining unsettled for more than 7 days will incur a mandatory 10% late fee applied to the total project cost.
Infrastructure Demolition: Continued failure to remit payment will trigger our automated termination protocols. Koda Studios will legally classify the project as abandoned, purge the database, and permanently spin down the server resources.
INTELLECTUAL PROPERTY & DOMAIN SEIZURE
Until an invoice is settled in its entirety, Koda Studios retains 100% legal ownership of all written codebases, database schemas, and digital UI designs.
Domain Control: If a custom domain is registered and hosted under Koda Studios infrastructure, the client possesses zero legal rights to that internet identity until all balances are cleared.
In the event of contract termination due to non-payment, Koda Studios reserves the absolute right to lock, retain, or seize the domain and all associated digital real estate.
REMITTANCE & CLEARANCE
Invoices for international and enterprise clients are issued in USD. Local billing is issued in KES.
Work does not commence, and production environments do not go live, until funds have fully cleared into Koda Studios' corporate accounts. Pending transfer notifications or proof-of-payment screenshots do not override this policy.
